1. Acceptance of Terms

By accessing and using SignalCast ("Service"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to these Terms of Service, please do not use our Service.

2. Description of Service

SignalCast provides AI-powered podcast summaries and digest generation services ("Service"). We reserve the right to modify, suspend, or discontinue the Service at any time without notice.

3. Account Registration

To access certain features of the Service, you must register for an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Maintain the security of your account credentials
  • Accept all responsibility for activity that occurs under your account
  • Notify us immediately of any unauthorized use of your account

4. Subscription Plans and Billing

4.1 Subscription Plans

We offer various subscription plans with different features and limitations. For current pricing and plan details, please visit our Pricing page.

4.2 Price Lock Guarantee

When you subscribe to a paid plan, your subscription price is locked in for the duration of your subscription. If we need to adjust our pricing:

  • You will receive at least 30 days advance written notice
  • The new price will only apply at your next renewal period
  • You may cancel your subscription before the new price takes effect
  • Your current billing cycle will not be affected by price changes

4.3 Billing

By subscribing to a paid plan, you agree that:

  • Subscriptions automatically renew unless cancelled
  • You will be billed at the start of each billing period
  • All fees are non-refundable except as required by law or stated in our refund policy
  • You are responsible for all applicable taxes
  • Payment failures may result in service suspension

4.4 Free Trials

We may offer free trial periods for certain subscription plans. Free trials automatically convert to paid subscriptions unless cancelled before the trial period ends. You will not be charged during the trial period.

5. Cancellation and Termination

5.1 Cancellation by You

You may cancel your subscription at any time from your account settings. Upon cancellation:

  • Your subscription will remain active until the end of the current billing period
  • You will retain access to paid features until the billing period ends
  • You will not be charged for subsequent billing periods
  • Your account may be downgraded to the free plan

5.2 Termination by Us

We reserve the right to suspend or terminate your access to the Service for:

  • Violation of these Terms of Service
  • Fraudulent or illegal activity
  • Non-payment of fees
  • Abuse of the Service or other users
  • At our sole discretion with notice

6. User Content and Conduct

6.1 Acceptable Use

You agree not to use the Service to:

  • Violate any laws or regulations
  • Infringe upon intellectual property rights
  • Distribute malware or harmful code
  • Harass, abuse, or harm others
  • Attempt to gain unauthorized access to our systems
  • Interfere with or disrupt the Service
  • Use automated scripts to access the Service without permission

6.2 Custom Podcasts

IMPORTANT: Only Public Podcasts Allowed

Custom podcasts MUST be publicly accessible. Paywalled, subscriber-only, or password-protected content is strictly prohibited and will result in immediate removal and potential account termination.

For Premium plan subscribers who add custom podcasts, you agree that:

  • RSS feed is publicly accessible without authentication
  • Content is not behind a paywall or subscription requirement
  • No passwords, tokens, or login credentials are required to access the feed or episodes
  • Feed is freely available on standard podcast platforms (Apple Podcasts, Spotify, etc.)
  • You have verified the podcast is publicly available

❌ Prohibited - Private/Paywalled Content

  • Patreon-exclusive podcasts or subscriber-only feeds
  • Password-protected RSS feeds
  • Early access feeds requiring payment
  • Content behind paywalls or authentication systems
  • Private company or internal podcasts
  • RSS feeds requiring API keys, tokens, or credentials
  • Content from platforms like Memberful, Supercast, or similar paid services

Enforcement

Violation of these custom podcast policies will result in:

  • Immediate removal of the custom podcast
  • Loss of Premium tier benefits (temporary or permanent)
  • Account suspension or termination for repeated violations
  • Legal action if necessary to protect our service and comply with DMCA requirements

Your Responsibilities

  • You must verify that custom podcasts are publicly accessible before submission
  • You are responsible for ensuring the content complies with applicable laws
  • You agree to our validation and moderation process
  • We reserve the right to reject or remove custom podcasts at our sole discretion
  • Shared custom podcasts must comply with all content guidelines

7. Intellectual Property

The Service, including its content, features, and functionality, is owned by SignalCast and is protected by copyright, trademark, and other intellectual property laws.

AI-generated summaries and digests created by the Service are provided for your personal use. You may not redistribute, resell, or commercially exploit summaries generated by our Service.

7.1 AI Training Policy

Your Privacy is Protected: We do not use your personal information, account data, or usage patterns to train AI models.

What We Process: Our AI services (Anthropic Claude) only process podcast transcripts from publicly available RSS feeds to generate summaries.

No Training on Your Data: All AI API calls are made with training opt-out flags enabled. Your personal data, preferences, and usage information are never used for AI model training by us or our AI service providers.

8. Privacy and Data

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. By using the Service, you consent to our data practices as described in the Privacy Policy.

9. Disclaimers and Limitations of Liability

9.1 Service "As Is"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9.2 AI-Generated Content

AI-generated summaries and content may contain errors or inaccuracies. We do not guarantee the accuracy, completeness, or reliability of AI-generated content. You should verify important information from original sources.

9.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SIGNALCAST SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

10. Changes to Terms

We reserve the right to modify these Terms of Service at any time. We will notify users of material changes via email or through the Service. Your continued use of the Service after changes constitutes acceptance of the modified terms.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States and the State of Delaware, without regard to its conflict of law provisions.

12. Dispute Resolution and Arbitration

IMPORTANT LEGAL NOTICE

This section contains a binding arbitration agreement and class action waiver. Please read it carefully as it affects your legal rights. You have the right to opt out of arbitration within 30 days of creating your account.

12.1 Informal Dispute Resolution

Before initiating any formal dispute resolution, you agree to contact us at legal@signalcast.com with a detailed description of the dispute. We will attempt to resolve the matter informally within 30 days. This informal process is a prerequisite to any arbitration or litigation.

12.2 Binding Arbitration Agreement

Agreement to Arbitrate: You and SignalCast agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Service, your use of the Service, or the relationship between you and SignalCast(collectively, "Disputes") will be resolved through binding arbitration, except as set forth in Section 12.4 below.

Arbitration Rules: The arbitration will be administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules (for individual consumers) or Commercial Arbitration Rules (for business users), as applicable, in effect at the time arbitration is initiated. The AAA's rules are available at www.adr.org or by calling 1-800-778-7879.

Arbitration Location: The arbitration shall be conducted in New Castle County, Delaware, or at another mutually agreed location. For claims under $10,000, you may choose to have the arbitration conducted by telephone, based on written submissions, or in person.

Arbitrator Authority: The arbitrator has exclusive authority to resolve all Disputes, including the interpretation, applicability, enforceability, or formation of this arbitration agreement, except for disputes relating to the class action waiver in Section 12.3.

Costs: Each party will bear their own costs and attorneys' fees, except that SignalCast will pay all AAA filing, administration, and arbitrator fees for claims under $10,000 unless the arbitrator finds the claim frivolous.

12.3 Class Action and Jury Trial Waiver

Individual Basis Only: You and SignalCast agree that all Disputes will be resolved on an individual basis only. You waive any right to pursue Disputes on a class, collective, consolidated, or representative basis, including participation in class action lawsuits, class arbitrations, private attorney general actions, or consolidation with other arbitrations.

No Jury Trials: You and SignalCast waive any right to a trial by jury for all Disputes.

Severability: If any court or arbitrator determines that the class action waiver in this Section 12.3 is void or unenforceable for any reason, then the arbitration agreement in Section 12.2 shall be void, and the Dispute must be brought in court subject to Section 12.6.

12.4 Exceptions to Arbitration

Notwithstanding the foregoing, either party may bring the following actions in court:

  • Claims for injunctive or equitable relief relating to intellectual property infringement, misappropriation, or unauthorized use
  • Claims for violations of the Computer Fraud and Abuse Act or similar laws
  • Small claims court actions (if they qualify and remain in small claims court)
  • Actions to enforce an arbitration award

12.5 Opt-Out Right

You Can Opt Out

You have the right to opt out of this arbitration agreement. To opt out, you must send written notice to legal@signalcast.com within 30 days of first accepting these Terms (i.e., account creation or first use of the Service).

Your opt-out notice must include:

  • Your full name
  • Email address associated with your account
  • Statement: "I opt out of the arbitration agreement"

If you opt out, all other terms of these Terms still apply, but Disputes will be resolved in court under Section 12.6.

12.6 Jurisdiction and Venue

If the arbitration agreement does not apply (because you opted out or it is unenforceable), you agree that any Dispute will be brought exclusively in the state or federal courts located in New Castle County, Delaware, and you consent to personal jurisdiction and venue in these courts.

12.7 Changes to This Section

SignalCast may modify this Section 12 in future versions of the Terms. Any such changes will not apply to Disputes that arose before the change took effect. If we make material changes to this arbitration agreement, we will provide at least 30 days' notice, and you may reject the changes by opting out under Section 12.5 within 30 days of the notice.
